VENDOR TERMS AND CONDITIONS Effective Date: 01-01-2026 Welcome to Metoara Digital! These Vendor Terms and Conditions ("Terms") govern your relationship with Metoara Digital as a vendor, partner, or service provider. By working with us, you agree to comply with these Terms. 1. Acceptance of Terms By providing services to Metoara Digital, you agree to these Terms. If you do not agree, you must not proceed with any work or collaboration. 2. Vendor Eligibility You must be at least 18 years old and capable of entering into a legally binding agreement. 3. Scope of Work Vendors will provide services as agreed upon, which may include: * Digital Marketing Services * Ads Management * Content Creation / Design * Video Editing / AI Creative Work * Lead Generation Support All work must be delivered as per agreed timelines and quality standards. 4. Work Responsibility * Vendors must deliver accurate, original, and high-quality work * Any delay or failure must be informed in advance * Work must not violate any copyright or third-party rights 5. Payment Terms * Payment will be made as per agreed terms (per project / monthly / milestone-based) * Payments may be delayed in case of incomplete or unsatisfactory work * No advance guarantee unless agreed in writing 6. Confidentiality Vendors must keep all client data, business strategies, and internal information strictly confidential. Sharing or misuse of data is strictly prohibited. 7. Non-Compete / Non-Solicitation Vendors must not directly contact or deal with Metoara Digital clients without permission. Any violation may lead to termination and legal action. 8. Intellectual Property All work created for Metoara Digital will be owned by Metoara Digital unless otherwise agreed. Vendors cannot reuse or resell the same work without permission. 9. Compliance Vendors must follow all applicable laws, advertising policies (Meta, WhatsApp, etc.), and ethical practices. 10. Termination Metoara Digital reserves the right to terminate any vendor without prior notice in case of: * Poor performance * Delay in work * Misconduct or unethical behavior 11. Liability Metoara Digital will not be liable for any indirect or business losses faced by the vendor. 12. Changes to Terms These Terms may be updated at any time. Vendors are responsible for reviewing the latest version. 13. Governing Law These Terms are governed by the laws of India. 14.
